1. Name of the Society

The Name of the Society shall be NATIONAL INSTITUTE FOR R&D IN DEFENCE SHIPBUILDING (hereinafter referred to as 'NIRDESH")

2. Registered Office of the Society

The Registered Office of NIRDESH shall be situated in the State of Delhi at the following address:

3. Area of Operation of the Society

The area of operation of the Society shall normally be New Delhi extending to the entire Union of India for co-operation and collaboration in pursuit of its objectives. The Society shall have its Head Office in Kozhikode, Kerala. The Society shall also carry out its activities from its registered office in New Delhi.

4. Aims and Objectives of the Society

a. To set up a National institute for R&D relating to warships, submarines and other related platforms in order to strengthen indigenous defence production capabilities.

b. To augment the efforts of the Ministry of Defence (MoD) in developing a robust Defence Industrial base by providing technology support and promote

c. To complement the existing efforts of Indian Navy and Defence Research & Development Organization (DRDO) by filling in the gaps relating to the R&D and design of complex systems, sub-systems & components etc. and act as a nodal centre for the defence shipbuilding industry in India.

d. To support the defence shipbuilding industry by addressing their emerging needs relating to design and construction of state of the art defence platforms including specific R&D projects to provide turnkey solutions.

e. Undertake research leading to breakthrough in Ship design and technologies and continuously innovate so as to provide a quantum jump in the Naval and Coast Guard capabilities.

f. To undertake R&D projects that would expand the frontier of shipbuilding technologies beyond the immediate and specific requirements of Naval and Coast Guard Sector.

g. Support Indian Navy and Coast Guard in achieving technological superiority and prevent surprise from harming the national security through revolutionary, high pay off research thereby taking to realization of fundamental discoveries to actual application.

h. Be a place for people with innovative ideas that lead to ground breaking discoveries in the Naval and Coast Guard sector.

i. To study futuristic global trends and evolve strategy & requirement of in-house R&D so that the country is constantly working towards state of the art and futuristic technologies on a continuum basis in the naval and Coast Guard sector.

j. To organize advanced training at all levels to personnel of shipyards in to order to develop their core competencies.

k. To provide consultancy and technology know-how on the specialized system designs being developed by the institute in the Naval and Coast Guard sector.

l. To sponsor, co-ordinate, promote and undertake research programmes and projects of a developmental nature involving proto-types/model, detailed investigations & testing facilities etc. in the specific area of Warship & Submarine construction.

m. To collaborate with other agencies in the country and/or abroad to co-develop special system designs, specific production processes and procedures to help shipyards to improve existing standards and practices and continuously evolve benchmarks for construction performance.

n. To act as the knowledge and data bank repository on special system designs developed as well as information and knowledge on similar systems available globally.

o. To assist and advise shipyards to incrementally move towards the contemporary global best practices with know how, know why and Transfer of Technologies based on the latest construction technology.

p. To co-operate and affiliate, if necessary, with other similar Institutions, Associations or Bodies in India and abroad.

q. To undertake or sponsor studies on ships/submarine building.

r. to acquire intellectual property rights of designs of entire systems and various sub systems of warships/submarine construction developed by the Institute.

s. To create and register patents and share them with defence industries and shipyards under separate agreements.

t. To sponsor and organize national and international conferences, seminars and symposium in/outside India in order to share and absorb contemporary knowledge in the field of defence shipbuilding.

u. To offer/take advice and assistance of academia, research and development institutes and experts of repute in the field of special system designs and system engineering pertaining to the construction of warships, submarine and related platforms.

v. To support Department of Defence Production (DDP) & Indian Navy in their efforts to evolve a completely indigenous design and construction of future warships and submarines that can be built in India without any ToT.

w. To create and maintain database of vendors which are being used by the various shipyards and share the same with all shipyards including vendor rating feedback of individual shipyards.

x. Conduct studies as tasked by MoD and submit report in the area of Naval and Coast Guard Sector.

y. Support and augment Indian Industry by suitable R&D so that they become sufficiently capable for manufacturing all critical ship borne items/equipment so that Indian Industry becomes main hub/sought after destination for shipbuilding thereby supporting the shipbuilding Industry in the country.

z. To create and maintain a database of intellectual capital and details of all such Naval Architects and other experts related with war vessel design and development so that their services could be sourced for national cause.

aa. To evolve new metallurgy, materials and alloys in consultation with DRDO, other Public and private enterprises and to obviate imports of such material which can be made in India.

bb. To provide consultancy to shipyards in space planning. HR, Project Planning & Management, Time and Motion studies etc. to increase efficiency and effectiveness of Indian Shipbuilding Industry at par with global standards.

cc. To assist the shipyards in evolving latest norms for the period review of productivity/output at all levels at par with global standards.

dd. In order to make the Indian Shipbuilding Industry globally competitive in terms of quality, price and timelines, evolve various norms and stands for all kinds of shipbuilding activities.

ee. To undertake independent case studies of specific projects being undertaken by the shipyards as per the directions of MoD.

ff. To publish research papers, newsletters etc. highlighting current global trends relating to the Naval and Coast Guard sector.

gg. To scan the existing/emerging requirements of ships by various countries and disseminate such information to be Indian Shipbuilding Industry to augment their export capabilities.

hh. To augment core competencies in detailed design evolved by individual shipyards so as to make them world class.

ii. To acquire by gift, purchase, exchange, lease, hire or otherwise any property movable or immovable and to construct, improve, alter, demolish or repair building, works and constructions, sell, mortgage, lease, exchange, license or replace any of the holdings of the society as may be necessary or convenient for carrying out the Society's activities.

kk. All the incomes, earning, movable and/or immovable property of the society shall be solely utilized and applied towards the promotion of its aims and objects set forth in the Memorandum of Association of the Society and no portion thereof shall be paid or transferred directly or indirectly by way of dividends, bonus, profits or any manner, whatsoever, to the present or past members of the Society or to any person or persons acting/claiming through any one or more of the present or past members. No member of the Society shall have any personal claim on any movable or immovable properties of the Society or make any profit, whatsoever by virtue of the Membership.

5. The Government of India may appoint one or more persons to review the work and the progress of the Society and to hold enquiries into the affairs thereof and to report thereon in such manner as the Government of India may take such action and issue such directions as it may consider necessary in respect of any of the matters dealt with in the report and the Society shall be bound to comply with such directions.

In addition, the Government of India may at any time issue directives to the society on important matters of policy and programmes, and the society shall comply with the directives.

6. The names and addresses and the occupation of the founder members of the Board of Governors (Governing Body) of the Society to whom, by the rules and regulations of the Society, the management of its affairs is entrusted are given in Appendix-1.

7. A copy of Rules and Regulation of the Society, certified to be a true and correct copy by three members of the Board of Governors (Governing Body), is filled along with the Memorandum of Association.

8. We, the several persons whose name, addresses, occupations are given in Appendix-2, having associated ourselves for the purpose described in this Memorandum of Association and set our several ad respective hands here unto and form ourselves into society namely "NIRDESH" under the Societies Registration Act, 1860 this day ----- November, 2010 at New Delhi.
